ADVISING AUCTUS CAPITAL PARTNERS AG ON THE ACQUISITION OF THE HOYER GROUP

The corporate team at Stevens & Bolton has advised equity investor AUCTUS Capital Partners AG on the English law aspects of its acquisition of the petroleum and bitumen division of HOYER Group, consisting of Hoyer Mineralöl Logistik GmbH, Hoyer Bitumen-Logistik GmbH and Hoyer Gas & Petroleum Logistics Limited (and their respective subsidiaries).

The acquired companies are among the leading providers of transport and contract logistics services for petroleum products and bitumen in Europe. The companies' service portfolio includes services for retail petrol station networks, commercial and industrial customers, airports and airfields, bitumen consumers and LNG/LPG consumers. The companies also provide direct refuelling of aircraft at airports and airfields and the management of aviation fuel depots and hydrants. The company has a modern fleet of around 900 lorries and almost 950 tank trailers and, with 2,600 employees, most recently generated sales of around EUR300m at 94 locations in Germany, the United Kingdom, Ireland and the Czech Republic. In future, the company will operate under the name Oxalis Logistics.

The transaction was governed by German law and was led by M&A partners Boris Dürr, Marcel Greubel and Christian Schild at Heuking Kühn Lüer Wojtek.
