The Stevens & Bolton corporate team has advised the shareholders of Krystal Kleen Heritage Limited (KKHL) on the sale of KKHL, including its trading subsidiary Metalwash Limited (Metalwash), to Safety-kleen U.K. Limited (Safetykleen). Safetykleen acquired a majority stake in December 2023 and has now acquired the remaining shares in KKHL.
Metalwash is a company specialising in the service rental of parts cleaning equipment for the automotive, engineering, rail, aviation and other sectors. Headquartered in Stroud, Gloucestershire, it operates with nationwide sales and service centres with regional hubs in Dundee, Penrith, Harrogate, Birmingham and Dunstable.
Safetykleen Group is a provider of parts cleaning, waste management and environmental advisory services to customers in 13 countries, including the UK. The acquisition of Metalwash will drive significant synergies between the two businesses, combining two of the sector’s best-in-class solution providers. The deal will look to harness the skill-set and dedication of both sets of employees to service customers and grow the enlarged group.
Dane Houlahan, Director of KKHL, commented: “We are thrilled to have concluded the final stages of the transaction and appreciate all the hard work put in by everyone involved. Keith and the whole S&B team have been absolutely first class in the support they have provided to the KKHL shareholders throughout our four year journey. S&B has been instrumental in ensuring a successful outcome from start to finish. Thank you very much to the whole S&B team!”
Keith Syson, Senior Partner, commented: “We originally acted for the shareholders on their investment into KKHL in 2020, to implement the acquisition of Metalwash, and have acted on various matters for KKHL since then. It’s been a pleasure working with Dane, Dan, Warwick and the other shareholders and we are delighted to have been involved in this successful outcome for the shareholders. We wish the combined businesses the best for the future.”
